Areas of Responsibility
Legal and contracts:
- Research and advise on local regional and international law issues and relevant legislation affecting the client including but not limited to OHADA - Manage litigation portfolio and supervision of external legal counsel and other professional advisers as necessary and managing the associated costs in line with authorization and approval of management - Oversee litigation portfolio within the company and providing guidance to ensure legal costs are optimized - Manage systems and processes to ensure efficiency in the administration of the legal function - Act as legal business partner by providing legal advisory support on corporate and legal issues to country Managemen - Act as the key corporate secretarial support with management and the statutory Meetings - Provide monthly and quarterly country litigation report to within the country and cluster - Draft and reviewing commercial documents and advising on commercial tran - Ensure that contracts with service providers and clients are in compliance with the company’s contracting standards - Ensure that any contractual and legal matters affe addressed - Ensure best practice sharing with the

- Ensure that at all times files in the claims system are updated with the most current information on all country claims and litigations (potential, pending and settled) - Develop country claims guidelines and ensure best practice sharing within the cluster in terms of service recovery and legal processes - Take adequate measures to limit cargo damage/loss within country - Train and educate of new and old employees on claims handling processes - Work in close collaboration with cluster and regional legal team to ensure effective and efficient handling of claims and legal matters in the cluster
Insurance:
- Responsible for ensuring adequate insurance cover, insurance policy monitoring, premium calculation/processing (for payment) and handling insurance claims - Relationship management with the company’s insurance brokers and insurance companies
Corporate Affairs:
- Responsible for the preparation and provision of the board file and AGM file for the company’s statutory meetings to the board members and/or shareholders - Proactive management on corporate governance and statutory compliance administration - Supervision of the procurement and admin functions
Health, safety and security: - Manage and develop the company’s health, safety, security and environmental functions - Implement policies, procedures and systems to provide for a safe and secure business operation - Ensure relevant Business contingency and continuity plans always remain up to date and are executed as and when required in consultation with the management.
Public Relations
- Maintain strong relationships with embassies, local authorities, courts, etc and develop a strong network of support for the client to deal in case of any eventually - Promote and defend the client at all political levels - Ensure timely visa issuance for all employees going out of the country for business related reasons - Ensure all expats under an employment contract and their families at all times have a valid work, residence permit and driving license - Ensure airport pick up and drop and other relevant protocol related actions for all visitors visiting the company. Ensure visitors are aware of safety rules before arriving in DRC
